Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the Complianta website at complianta.co.uk and the services provided by Complianta Ltd ("Complianta", "we", "us", "our"), a company registered in England and Wales. By engaging our services or using our website, you agree to be bound by these Terms. If you do not agree, please do not use our services or website.

2. Our Services

Complianta provides the following services to business customers:

  • Secure IT Asset Disposal and Data Destruction, including free collection, certified data wiping or physical destruction, WEEE-compliant recycling and issuance of Data Destruction Certificates and asset reports
  • Office IT Setup and Moves, including desk installations, cable management, network setup, printer configuration and meeting room technology installation
  • Supply of new and refurbished IT equipment, including laptops, desktops, monitors, docking stations, printers and networking equipment
  • IT Relocation services for office moves, including disconnection, packing, transport coordination and reinstallation

All services are subject to a separate written quotation or service agreement. These Terms apply to all services provided unless superseded by a specific written agreement signed by both parties.

3. Quotes and Pricing

Quotes provided by Complianta are valid for 30 days from the date of issue unless otherwise stated. All prices are exclusive of VAT unless specifically stated otherwise. Complianta reserves the right to revise a quote where the scope of work materially differs from the information provided at the time of quoting. Additional work requested beyond the agreed scope will be quoted and approved separately before being carried out.

4. Booking and Confirmation

A booking is confirmed when Complianta sends written confirmation (including by email). Collection or service dates are subject to availability. Complianta will make reasonable efforts to accommodate your preferred dates. For IT disposal collections, we will confirm a collection window in advance. We reserve the right to reschedule with reasonable notice should operational circumstances require it.

5. IT Disposal — Customer Responsibilities

The customer is responsible for:

  • Ensuring that all equipment presented for collection belongs to them or that they have the authority to arrange its disposal
  • Removing any media or devices they wish to retain before collection
  • Informing Complianta of any equipment that may contain hazardous materials or require specialist handling
  • Ensuring reasonable access to the collection premises at the agreed time

Complianta will issue Data Destruction Certificates and asset reports as agreed. The customer acknowledges that, once equipment is collected and processed, data destruction is irreversible. Complianta accepts no liability for data not destroyed that was not presented for collection or that was intentionally excluded by the customer.

6. Equipment Supply — Title and Risk

Title to any equipment supplied by Complianta remains with Complianta until payment in full has been received. Risk in the equipment passes to the customer on delivery. The customer should inspect all delivered equipment promptly and report any damage or discrepancy within 48 hours of delivery.

7. Payment Terms

Unless otherwise agreed in writing, invoices are due for payment within 30 days of the date of invoice. Complianta reserves the right to charge interest on overdue amounts at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Where a customer's account is materially overdue, Complianta may suspend further services until outstanding balances are settled.

8. Liability

Complianta's total liability to you in connection with the services (whether in contract, tort, including negligence, breach of statutory duty or otherwise) shall not exceed the total fees paid by you to Complianta for the specific service giving rise to the claim in the preceding 12 months. Complianta shall not be liable for any indirect, consequential, special or punitive loss or damage, loss of profits, loss of business, loss of data, or loss of anticipated savings.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

9. Data Protection

Where Complianta processes personal data on behalf of the customer as part of the IT disposal service, it does so as a data processor acting on the customer's instructions. Both parties shall comply with their respective obligations under the UK GDPR and the Data Protection Act 2018. Complianta's full privacy practices are set out in our Privacy Policy. A Data Processing Agreement is available on request.

10. Intellectual Property

All content on the Complianta website, including text, graphics, logos and images, is the property of Complianta Ltd or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute or create derivative works from our website content without our prior written consent.

11. Cancellation

For IT disposal collections: cancellations made more than 48 hours before the agreed collection time will incur no charge. Cancellations with less than 48 hours' notice may incur a reasonable administration or travel charge. For installation and relocation projects: cancellation terms will be set out in the relevant quotation or service agreement.

12. Force Majeure

Complianta shall not be in breach of these Terms or liable for any delay or failure in performance arising from circumstances beyond our reasonable control, including acts of God, adverse weather, industrial action, pandemic, or transport disruption. We will notify you promptly of any such event and will use reasonable endeavours to minimise disruption and resume services as soon as possible.

13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

14. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated date. Continued use of our services following notification of changes constitutes acceptance of the updated Terms.
